Affiliate Agreement

This Affiliate Agreement ("Agreement") is made and entered into by Squarepaste ("Company"), and the affiliate ("Affiliate") who agrees to promote and market the Company's products or services through the use of affiliate links.
Appointment The Company hereby appoints the Affiliate as a non-exclusive affiliate to promote and market the Company's products or services, subject to the terms and conditions of this Agreement. The Affiliate hereby accepts such appointment and agrees to promote and market the Company's products or services in accordance with the terms and conditions of this Agreement.
Affiliate Links The Company will provide the Affiliate with unique affiliate links ("Links") to be used in promoting and marketing the Company's products or services. The Affiliate shall be entitled to a commission of 20% of the purchase price for each order made through the Affiliate's Links.
Payment The Company shall pay the Affiliate the commission earned from each order made through the Affiliate's Links. Payments will be made on the first of each month for the previous month's sales. Payment shall be made by check, PayPal, or other method agreed upon by the parties.
Promotion and Marketing The Affiliate shall use its best efforts to promote and market the Company's products or services using the Links provided by the Company. The Affiliate shall not make any misleading or false statements in connection with the Company's products or services.
Representations and Warranties The Affiliate represents and warrants that it has the legal authority to enter into this Agreement and that its participation in the Affiliate program will not violate any applicable laws, regulations or agreements.
Term and Termination This Agreement shall remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party. Upon termination, the Affiliate shall immediately cease using the Links and promoting and marketing the Company's products or services.
Confidentiality The Affiliate shall not disclose any confidential information obtained from the Company, including but not limited to customer lists, marketing strategies, and financial information.
Limitation of Liability The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the use of the Affiliate program.
Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the state of Tennessee, without giving effect to any principles of conflicts of law. Any legal action arising out of or in connection with this Agreement shall be brought in the state courts located in Livingston County, Tennessee.
Entire Agreement This Agreement constitutes the entire agreement between the Company and the Affiliate with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, between the parties.
Amendments The Company reserves the right to amend this Agreement at any time by providing written notice to the Affiliate. The Affiliate's continued participation in the Affiliate program following any such amendment shall be deemed acceptance of the amended Agreement.
Assignment The Affiliate shall not assign this Agreement or any rights or obligations hereunder without the prior written consent of the Company.
Waiver The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
