Terms of Service

1. Acceptance

These Terms of Service (“Terms”) govern your access to and use of squarepaste.com (the “Site”), the Squarepaste app (the “App”), and the other products and services offered by Squarepaste (“Squarepaste,” “we,” “us,” or “our”). By accessing the Site, creating an App account, subscribing to a plan, purchasing a plugin or template, or engaging us for custom work, you agree to these Terms. If you do not agree, do not use the Site, the App, or our services.

No affiliation with Squarespace. Squarepaste and the Squarepaste app are independent of, and not affiliated with, endorsed by, or connected to, Squarespace, Inc. in any way.

2. Services

Squarepaste offers four categories of products and services:

• The Squarepaste app: a secure, private live chat web application embedded in the websites you build, so you can communicate with your clients through a streamlined messaging interface. It is offered through subscription plans that provide differing numbers of website connections and related functionality.
• Plugins: JavaScript and CSS code snippets that extend or customize a Squarespace website. Plugins are licensed for use on a single Squarespace site identified at purchase.
• Templates: Pre-built Squarespace website templates delivered by inviting your email as Administrator on a duplicated Squarespace site, then transferring ownership to you upon your acceptance.
• Custom Services: Design, development, and management work scoped on a project-by-project basis through our intake form at /start or by email.

3. App Accounts

To use the App, you must create an account and provide accurate, current, and complete information. You are solely responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or suspected security breaches.

4. App Subscription Plans and Billing

The App is offered through monthly or annual subscription plans, with annual plans billed once per year at a discount of approximately 25% against twelve monthly payments. All billing and payment processing are handled exclusively through Stripe. You may change your subscription plan, or move between monthly and annual billing, at any time from the billing management interface in your account. When you change plans, Stripe’s proration system automatically recalculates the charges or credits owed, and the new plan takes effect immediately. You may cancel your subscription at any time, and prorated refunds are issued when applicable. Service remains active through any previously paid billing period unless otherwise specified.

To modify your subscription, the following steps apply:

1. Accessing your account: Log into your Squarepaste account with your valid, authenticated credentials, so that only authorized users can change billing or subscription settings. Once logged in, you are directed to your account dashboard, where all management functions are located.
2. Navigating to Manage Billing: In your account dashboard, select the Manage Billing section. It gives direct access to your current plan details, renewal dates, payment method, and available subscription options, and is powered by Stripe’s secure customer portal.
3. Selecting a new plan: Review the available subscription tiers and select the plan you wish to upgrade or downgrade to. Each plan includes a description of its features and limitations. Selecting a plan begins the automated recalculation through Stripe.
4. Reviewing proration: Stripe calculates prorated charges or credits based on the remaining portion of your current billing cycle, so you pay only for the portion of the service you use, and shows a breakdown before any change is finalized.
5. Confirming the change: Review the billing summary, including any immediate charges or credits. Confirming authorizes Stripe to process the new billing arrangement on your behalf.
6. Applying the new plan: The new plan takes effect immediately. You receive a confirmation of the updated plan, and your account then operates according to the features and limitations of the new tier.

5. App Usage Limits

Each subscription plan includes one operator seat and supports a defined number of connected websites depending on the tier selected. File uploads are subject to a maximum size of 10MB, while photos added to the chat widget may not exceed 5MB. Profile photos also carry a 5MB size limit. Messages transmitted through the App are retained for 180 days before being automatically and permanently deleted. You receive email notifications for new messages; however, we do not provide desktop or mobile push notifications, nor do we offer email summaries or chat transcripts.

6. App License and Use Restrictions

The App, including the embeddable widget software, documentation, and all related materials, is licensed for use only as provided through your active Squarepaste account and in accordance with your subscription plan. You may not, and you may not permit any third party to:

• copy, reproduce, or duplicate the Squarepaste widget or any part of the App software for use outside the Squarepaste service;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or algorithms of the widget or any Squarepaste systems;
• sell, resell, sublicense, rent, lease, or distribute the widget or the service to any third party, or use the widget to build a product or service that competes with or substitutes for the App;
• use the widget or any Squarepaste APIs, credentials, or assets on websites or in applications that are not connected and authorized through your Squarepaste dashboard; or
• remove or alter any proprietary notices on the widget or related materials.

Any use of the App other than as expressly permitted by these Terms is a material breach. We reserve the right to suspend or terminate accounts that violate these restrictions and to pursue all available remedies.

7. Client Payments Through the App

The App lets you bill your clients for tasks and for monthly care plans, and lets your clients pay you by card or bank payment through the App. To accept these payments you must connect a Stripe account through the App’s payouts settings, which creates a Stripe Express account in your name. By connecting, you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and you authorize Squarepaste to share information about you and your transactions with Stripe.

Each client payment is a charge made directly on your connected Stripe account. You, not Squarepaste, are the seller to your client, and you are responsible for the work you bill for, the prices you set, any taxes due on your sales, and your relationship with your client. Squarepaste is not a party to the agreement between you and your client.

Platform fee. Squarepaste charges a platform fee on each client payment and each care-plan invoice, deducted automatically at the time of the charge: 2% on the Link and Connect plans and 1% on the Atlas plan, rounded down to the nearest cent. Stripe’s own processing fees are charged to your connected account in addition to the platform fee. We may change the platform fee with notice by updating these Terms; the new rate applies to payments made after the change.

Payouts. The remaining balance is paid out to your bank account by Stripe on your connected account’s payout schedule. Squarepaste does not hold your funds and is not responsible for Stripe’s payout timing, holds, or account reviews.

Refunds and disputes. Refunds to your clients are issued from your connected account, and the platform fee on a refunded payment is not returned. Chargebacks, disputes, and any related Stripe fees are your responsibility. You agree to resolve billing questions with your clients directly.

8. Payments

All payments are processed by Stripe, Inc. We do not collect or store your full payment card details. Prices are listed in U.S. dollars (USD) and are subject to applicable sales tax. Promotional discounts, when offered, are applied at checkout and are non-transferable. Repeated chargebacks or fraudulent payment attempts may result in termination of access to our services.

9. Plugin License

Upon successful payment, Squarepaste grants you a non-exclusive, non-transferable, non-sublicensable license to use the purchased plugin code on a single Squarespace site (the “Licensed Site”). The license covers the Licensed Site, including any staging or development copies you maintain for that same site.

You may not:

• Use the plugin on a site other than the Licensed Site.
• Resell, sublicense, or redistribute the plugin code.
• Remove or obscure any attribution comment included in the plugin source.
• Use the plugin to build competing products for resale.

Migrating the Licensed Site to a new URL or domain does not require any action from us. If you need help, contact [email protected].

10. Template Delivery and Ownership

Templates are fulfilled manually. After a successful template purchase, we duplicate the template within Squarespace, invite the email you used at checkout as an Administrator, and transfer Owner permissions to you once you accept the invitation. Typical fulfillment is within one business day. You become the Squarespace site owner upon acceptance and are then subject to Squarespace, Inc.’s own Terms of Service.

Squarepaste retains ownership of the underlying template design and structure. You receive a license to use, customize, and operate the delivered site for your own business; you may not resell, redistribute, or license the template design to third parties.

11. Refunds

App subscriptions are refunded on a prorated basis when applicable, as described in App Subscription Plans and Billing. Refunds of client payments made through the App are covered in Client Payments Through the App.

Because plugins and templates are digital products delivered immediately or within one business day, all sales are final once delivery has begun (i.e., once a plugin download is provided or a Squarespace invitation is sent). If a product is materially broken on arrival or differs significantly from its description, contact [email protected] within 14 days of purchase and we will work in good faith to resolve the issue or refund.

Custom service engagements are subject to the refund and payment milestone terms specified in the individual project agreement.

12. Intellectual Property

The Site, the App, and all content on them, including but not limited to text, code, design, software architecture, interface elements, graphics, logos, images, video, and the structure of Squarepaste plugins and templates, are owned by Squarepaste or its licensors and protected by U.S. and international copyright and trademark laws. The Squarepaste name and logo are trademarks of Squarepaste. “Squarespace” is a registered trademark of Squarespace, Inc.

You retain ownership of any content or materials you submit through the App, but you grant us a limited license to process, transmit, and store that content as necessary to operate the App.

13. Acceptable Use

You agree to use the Site, the App, and our products only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use our products in any way that is fraudulent, harmful, harassing, defamatory, or unlawful, or disruptive to the service or other users.
• Reverse engineer, decompile, or disassemble our software.
• Remove or alter copyright, trademark, or other proprietary notices.
• Probe, scan, or test the Site’s or the App’s vulnerabilities without consent.
• Interfere with the operation of the Site, the App, or their underlying systems and infrastructure, or with other users’ access.

We reserve the right to suspend or terminate accounts engaging in prohibited conduct.

14. Third-Party Services

Our products rely on third-party services, including Squarespace (website and template platform), Stripe (payment processing and subscription billing), Supabase (authentication and database), Cloudflare (hosting for the App), and Vercel (hosting for squarepaste.com). Your use of these services is subject to their respective terms and privacy policies. We do not guarantee uninterrupted access and are not responsible for outages, errors, or policy changes originating with third parties.

15. Disclaimers

THE SITE, THE APP, AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Squarepaste does not warrant that the products will be uninterrupted, error-free, or compatible with all current or future Squarespace versions. You acknowledge that service interruptions may occur.

16. Limitation of Liability

To the maximum extent permitted by law, Squarepaste’s total liability to you for any claim arising out of or related to these Terms or our products and services is limited to the amount you paid Squarepaste in the twelve (12) months preceding the claim. In no event will Squarepaste be liable for indirect, incidental, consequential, special, or punitive damages, including lost revenue or data, or for damages arising from service interruptions, even if advised of the possibility of such damages. If you are dissatisfied with the App, your sole and exclusive remedy is to stop using it.

17. Indemnification

You agree to indemnify and hold harmless Squarepaste and its officers, employees, and contractors from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, the App, or our products, your violation of these Terms, or your violation of any third-party right.

18. Termination and Data Deletion

We may suspend or terminate your access to the Site or the App, or revoke a license, at any time if you violate these Terms. Upon termination, your right to use the affected products ends; sections of these Terms that by their nature survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will remain in effect.

If your App account is deleted voluntarily or terminated for a violation of these Terms, all data associated with it, including messages, personal information, and connected domains, is permanently deleted from our systems. This deletion is irreversible.

19. Changes to These Terms

We may update these Terms from time to time. The “Updated” date at the top of this page shows the most recent revision. Continued use of the Site, the App, or our products after a change constitutes acceptance of the revised Terms.

20. Governing Law

These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws principles. Any legal action arising from these Terms must be brought in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction of those courts.
